Triniteq Terms of Use
Schedule 3
These Terms of Use govern the relationship between Triniteq International Pty Ltd ("Triniteq") and the Customer in connection with the supply of Triniteq or Partner services, software, products, goods and/or hardware. By placing an order, accepting a quote, or using any Triniteq or Partner product or service, the Customer agrees to be bound by these Terms.

This Schedule is a supplementary document that supports and operates alongside the PowerEPOS Technologies Ltd End User Licensing Agreement (EULA). It does not create standalone licensing obligations for PowerEPOS-related products and services independent of the PowerEPOS Technologies Ltd EULA. Where any inconsistency exists between this Schedule and the PowerEPOS Technologies Ltd EULA, the EULA will prevail in respect of PowerEPOS-related products and services. The PowerEPOS Technologies Ltd EULA may be updated or amended from time to time, and the Customer is responsible for reviewing the current version of the EULA as it applies to their use of PowerEPOS-related products and services.
These Terms form part of a suite of six schedules:

By installing or using any Triniteq or Partner software, the Customer agrees to be bound by the terms of this Schedule. This Software Licensing Agreement covers all Triniteq software products and services supplied by Triniteq and supports the PowerEPOS Technologies Ltd EULA in respect of all related products and services. All software supplied is protected by Australian and international copyright law.
Schedule 3 – Triniteq Software Licensing Agreement
- Scope of this Agreement
This Schedule applies to all products and services supplied by Triniteq, software products and any current or future additions to Triniteq's and Partner software suite.
This Schedule operates as a supplementary document to the PowerEPOS Technologies Ltd EULA. Customers using Triniteq or Partner products and services must also accept and comply with the PowerEPOS Technologies Ltd EULA, a link to which is provided here. The PowerEPOS Technologies Ltd EULA may be updated from time to time, and continued use of PowerEPOS-related products and services constitutes acceptance of the current version of the EULA.
An amendment or addendum to this Schedule may be provided to the Customer in PDF format where required.
- Grant of Licence
Subject to the Customer's compliance with these Terms, Triniteq grants the Customer a non-exclusive, non-transferable, personal licence to use the licensed software for the purposes described in Schedule 1, Schedule 2, Schedule 3, Schedule 4, Schedule 5 & Schedule 6.
Use of Triniteq or Partner products, services and software requires a valid Triniteq licence server authentication, licence key or licence dongle to be present at all times. If the authentication, key or dongle is invalid or absent, the Customer will be required to purchase an additional software licence unless otherwise directed by Triniteq in writing.
All applicable software licences are granted in accordance with the PowerEPOS Technologies Ltd EULA. The Customer must ensure they have accepted the current version of the PowerEPOS Technologies Ltd EULA prior to use.
Under this licence, the Customer may:
- install and use licences of the software on devices, being handheld tablets, touchscreen POS terminals, laptops or personal computers.
- Licence Restrictions
The Customer must not:
- copy or permit any other party to copy the Triniteq or Partner licensed software or any part of it;
- sell, transfer or purport to sell any copies of the Triniteq or Partner licensed software;
- reverse engineer, decompile, disassemble or otherwise interfere with the Triniteq or Partner licensed software, or permit any other party to do so;
- disable or attempt to disable any security mechanism or device within the Triniteq or Partner licensed software; or
- use the Triniteq or Partner software for any purpose other than the Customer's internal business operations.
Each of the above restrictions is subject to the Customer's rights under Division 4A of the Copyright Act. Triniteq and its Partners retain ownership of all source code, which will not be provided to the Customer under any circumstances.
All Triniteq and Partner products and services are classified as Not for Resale (NFR). NFR software may not be sold, transferred for value, or used for any purpose other than the demonstration, testing or evaluation of Triniteq or Partner products.
- Software Transfer
The Customer must notify Triniteq prior to transferring or moving any Triniteq or Partner software to a different device. The Triniteq or Partner software and any associated dongle must be completely removed from the original device before transfer. Triniteq must be contacted directly at support@triniteq.com regarding any transfer.
Triniteq or Partner software components are single-purpose and cannot be separated or used across more than one device simultaneously.
For Triniteq and Partner products and services, any transfer or migration requirements are governed by the PowerEPOS Technologies Ltd EULA. Please refer to the current version of the EULA here.
- Use of Data
The Customer authorises Triniteq staff and Authorised Service Providers to gather, store and use technical data for the purposes of software support. All personal information is handled in accordance with Triniteq's Privacy Policy, available at www.triniteq.com/privacy-policy.
- Third-Party Links and Integrations
Triniteq and Partner provides the ability to link or integrate its software with third-party products for the Customer's convenience. Triniteq is not liable for the performance, availability or conduct of any third-party products or services.
If issues arise with a third-party integration and the cause can be attributed to the third-party product or circumstances outside Triniteq's control, Triniteq will refer the matter to the Customer or the relevant third-party supplier. It is then the responsibility of the Customer and/or the third-party supplier to act on Triniteq's advice.
- Additional Software and Updates
This Schedule applies to all current and future Triniteq or Partner software products, including minor and major upgrades, service patches, and add-on components. Any amendment or addendum to this Schedule may be provided to the Customer in PDF format upon request.
For Triniteq or Partner products and services, updates and upgrades are subject to the terms of the PowerEPOS Technologies Ltd EULA as updated from time to time.
- Data Backup
8.1 Hosted Triniteq or Partner Software: The Customer is responsible for maintaining regular backups of all data associated with hosted Triniteq or Partner software. Triniteq is not liable for any loss or damage arising from the Customer's failure to maintain adequate backups.
8.2 Cloud Triniteq or Partner Software: Triniteq will maintain regular backups of cloud-based Triniteq or Partner software data. However, Triniteq is not liable for any loss or damage arising from any failure of the backup process, regardless of cause.
8.3 For Partner products and services, data backup obligations are governed by the PowerEPOS Technologies Ltd EULA. Please refer to the current version of the EULA here.
- Termination
If the Customer fails to comply with this Schedule, Triniteq may terminate any agreements held with the Customer at its sole discretion. Triniteq will take into account any errors or misunderstandings before initiating termination.
Termination of this Schedule in respect of Partner products and services does not affect the Customer's obligations under the PowerEPOS Technologies Ltd EULA, which continues to govern the Customer's use of those products independently.
- Limitation of Liability
To the maximum extent permitted by applicable law, Triniteq's liability under this Schedule is limited as follows:
- For hosted software, liability is limited to the amount paid by the Customer to Triniteq for the hosted software component of the original purchase.
- For cloud-based software, liability is limited to the total amounts paid by the Customer to Triniteq in the 12 months immediately preceding the event giving rise to the claim.
Neither Triniteq nor any of its Partners, distributors, dealers or subsidiaries will be liable for any indirect, special, incidental or consequential damages, including loss of business, loss of profits, loss of opportunity or loss of investment, even if Triniteq has been advised of the possibility of such loss. This limitation may not apply in jurisdictions where such exclusions are not permitted by law.
For Partner products and services, the limitation of liability provisions in the PowerEPOS Technologies Ltd EULA also apply. Please refer to the current version of the EULA here.
- Relationship to Other Agreements
This Schedule, together with Schedule 1, Schedule 2, Schedule 4, Schedule 5, Schedule 6, and the PowerEPOS Technologies Ltd EULA (as applicable), constitutes the entire agreement between the Customer and Triniteq with respect to the licensing of software. It supersedes any prior oral or written agreements relating to the same subject matter.
Where this Schedule applies to Partner products and services, it is supplementary to and must be read alongside the PowerEPOS Technologies Ltd EULA. The Customer acknowledges that the PowerEPOS Technologies Ltd EULA may be updated from time to time and agrees to review and comply with the current version as a condition of continued use of Partner products and services.
